Terms of Service
These terms govern your use of visitlock.ai and the VisitLock platform. Customers under a master services agreement should refer to that agreement first; these terms apply to website use and to anyone using the platform without a separate signed contract.
Who we are
VisitLock, Inc. is a Delaware corporation with offices in Tampa, FL and Houston, TX. References to "we," "us," and "our" mean VisitLock, Inc.
Acceptable use
You may use the website and the platform for lawful purposes. You may not: attempt to access systems you're not authorized to access; reverse-engineer the platform; submit fraudulent visit data; impersonate another aide, agency, or user; or interfere with the platform's operation.
The aide's role
If you're a home health aide using the VisitLock app, your employer is your contracting customer. Your enrollment, your biometric template, and your visit history are subject to your employer's policies and the privacy protections described in our Privacy Policy.
The agency's role
If you're an agency using the platform, you're responsible for: lawfully employing the aides you enroll, obtaining their consent for biometric enrollment as required under BIPA / CUBI / HB 1493 (we provide a compliant consent flow at enrollment), maintaining accurate authorization data for each patient, and timely review of flagged visits.
Service availability
We target 99.9% uptime for the platform's core verification and EVV submission services. Scheduled maintenance windows are communicated in advance. Detailed service-level commitments live in your master services agreement.
Intellectual property
The VisitLock platform, including the website, mobile applications, dashboards, and all related content, is the property of VisitLock, Inc. and is protected by copyright, trademark, and patent law (including pending applications). VisitLock and the VisitLock mark are trademarks of VisitLock, Inc.
Customer data
Customer data — including PHI, visit records, aide enrollments, and operational data — remains the property of the customer. We process it on the customer's behalf as a Business Associate under HIPAA. Detailed processing terms live in our Business Associate Agreement.
Disclaimers
The platform is provided "as is" except as expressly warranted in a master services agreement. We do not warrant that any individual visit verification will be free of false positives or false negatives. Verification is a probabilistic process; the platform produces high-confidence results but not absolute results.
Limitation of liability
To the maximum extent permitted by law, our liability for any claim arising from your use of the website or the platform (other than under a separate master services agreement, where its liability terms govern) is limited to the amounts paid by you to us in the twelve months preceding the claim. We are not liable for indirect, consequential, incidental, or punitive damages.
Governing law
These terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Disputes arising from these terms are subject to the exclusive jurisdiction of the state and federal courts located in Wilmington, Delaware.
Changes
We may update these terms from time to time. Material changes will be communicated to active customers in advance. The "Last Updated" date at the top of this page reflects the current version.
